Authoritative answers on ACRA BizFile+ lodgments, IRAS tax deadlines, and statutory responsibilities under Singapore law.
Section 171 mandates that every company incorporated in Singapore must appoint at least one qualified, ordinarily resident company secretary within 6 months of its incorporation. The corporate secretary cannot be the sole director of the company and must ensure the firm fulfills all ACRA statutory filing deadlines, maintains company registers, and prepares AGM resolutions.
Singapore private companies must adhere strictly to three annual statutory deadlines:
Qualifying new Singapore companies enjoy substantial tax exemptions during their first three consecutive Years of Assessment (YAs). Under the current scheme, you receive a 75% tax exemption on the first S$100,000 of normal chargeable income, plus a further 50% exemption on the next S$100,000. Above this, the flat Singapore headline corporate income tax rate is just 17%.
GST registration is strictly compulsory if your company's taxable turnover exceeds S$1 million at the end of any calendar year (retrospective basis) or is reasonably expected to exceed S$1 million in the next 12 months (prospective basis). The current GST rate is 9%. Failing to register within 30 days of crossing this threshold triggers heavy IRAS penalties.
Yes. Singapore corporate law permits 100% foreign shareholding. Foreign entrepreneurs do not need to be physically in Singapore to incorporate. The sole statutory requirement is that at least one appointed director must be ordinarily resident in Singapore (Singapore Citizen, Permanent Resident, or EntrePass/EP holder). SHORTS assists with all remote documentation and corporate bank account facilitation.
Singapore Financial Reporting Standards (SFRS) align with full international accounting standards. However, small Singapore entities can adopt SFRS for Small Entities (SFRS for SE), which simplifies disclosure requirements. To qualify, an entity must satisfy at least two of three criteria across two consecutive financial years: total annual revenue ≤ S$10 million, total balance sheet assets ≤ S$10 million, or total employees ≤ 50.
